Welcome to IT Pro Scout. By accessing or using the IT Pro Scout website ("Site") and any services offered through the Site ("Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the Site or Services.

1. Overview of Services

IT Pro Scout operates as a free matching service that connects businesses ("Clients") seeking managed IT services — including but not limited to network management, cybersecurity, cloud services, help desk support, and IT consulting — with vetted managed service providers ("Providers"). IT Pro Scout does not itself provide IT services. Our role is limited to facilitating introductions between Clients and Providers.

2. No Cost to Clients

IT Pro Scout does not charge Clients any fee for using its matching services. Revenue is generated through arrangements with Providers who participate in our network. Any fees, pricing, or contractual obligations related to actual IT services are strictly between the Client and the Provider they engage with.

3. No Guarantee of Results

While IT Pro Scout makes reasonable efforts to match Clients with suitable Providers based on information supplied through our online assessment, we do not guarantee:

• That a match will be found for every Client;
• The quality, reliability, timeliness, or performance of any Provider;
• That any Provider will meet the Client's specific requirements;
• Any particular outcome or result from engaging a Provider.

Clients are strongly encouraged to conduct their own due diligence before entering into any agreement with a Provider.

4. Client Responsibilities

By using the Services, you represent and warrant that:

• You are at least 18 years of age and have the authority to enter into these Terms;
• The information you provide in any assessment, form, or communication is accurate, complete, and current;
• You will use the Services only for lawful business purposes;
• You will not submit false, misleading, or fraudulent information.

5. Provider Relationships

Providers listed or matched through IT Pro Scout are independent third parties. IT Pro Scout is not a party to any contract or agreement between a Client and a Provider. We are not responsible for:

• Any acts, omissions, errors, or negligence of any Provider;
• The terms, pricing, or scope of services offered by any Provider;
• Disputes between Clients and Providers.

IT Pro Scout does not endorse, certify, or guarantee any Provider, even if described as "vetted" or "certified." Such descriptions refer to our internal review process and do not constitute a warranty of any kind.

6. Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, images, software, and design — is the property of IT Pro Scout or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without prior written consent from IT Pro Scout.

7. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Site, you consent to the practices described in the Privacy Policy.

8. Limitation of Liability

To the fullest extent permitted by law, IT Pro Scout, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunity, or goodwill — arising out of or in connection with:

• Your use of or inability to use the Site or Services;
• Any action taken or not taken by a Provider;
• Any unauthorized access to or alteration of your data;
• Any other matter relating to the Site or Services.

In no event shall IT Pro Scout's total liability to you exceed the amount you paid to IT Pro Scout for use of the Services, which is zero dollars ($0.00), as the Service is provided at no charge to Clients.

9. Indemnification

You agree to indemnify, defend, and hold harmless IT Pro Scout and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Site or Services, your breach of these Terms, or your violation of any third-party rights.

10. Third-Party Links

The Site may contain links to third-party websites or services. IT Pro Scout has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites. Accessing third-party links is at your own risk.

11. Modifications to Terms

IT Pro Scout reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms on the Site. Your continued use of the Site after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

12. Termination

IT Pro Scout may suspend or terminate your access to the Site or Services at any time, for any reason, without notice. Upon termination, all provisions of these Terms that by their nature should survive — including but not limited to intellectual property, limitation of liability, and indemnification — shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which IT Pro Scout is incorporated, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts located in that jurisdiction.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and IT Pro Scout regarding the use of the Site and Services, and supersede all prior or contemporaneous communications and proposals.
